SBA Affiliation Rules — What Most Businesses Underestimate

The SBA’s affiliation rules (13 CFR § 121.103) require that the revenues and employees of all affiliated businesses be combined when determining whether a company qualifies as small. Affiliation exists when one entity has the power to control another — through ownership, management, contractual relationships, or economic dependence. The following relationships commonly trigger affiliation:

⚠ Triggers Affiliation
50%+ ownership by same individual / entity in multiple businesses · Shared management or key personnel across companies · Economic dependence (>70% revenue from one customer) · Common investments, facilities, or equipment
✓ Generally Safe
Minority ownership with no control rights · Arms-length customer relationships · Teaming agreements with no shared management · Franchise relationships (franchisee measures independently)

Affiliation determinations are fact-specific and context-dependent. If your business has any shared ownership, management, or contractual relationships with other entities, consult an SBA-qualified attorney before certifying your size status. False size certification triggers False Claims Act liability. Source: 13 CFR § 121.103; SBA OHA Size Protest Decisions.
